Senior Legal Counsel, M&A and Commercial Transactions
Sonova US is seeking a Senior Legal Counsel, M&A and Commercial Transactions to lead acquisitions, corporate governance, and commercial transactions across multiple business units. This role provides legal guidance on mergers and acquisitions, oversees governance compliance, and supports commercial agreements.
Responsibilities
Mergers & Acquisitions (60%)
- Lead and negotiate transaction agreements, conduct legal due diligence, and mitigate risks.
- Drive legal integration for acquired businesses.
- Support corporate restructuring and consolidation.
Corporate Governance (10%)
- Ensure compliance and governance for legal entities in the Americas.
Commercial Transactions (30%)
- Advise business units on third-party agreements and legal compliance.
- Draft and negotiate contracts; oversee outside counsel in Canada and Latin America.
Experience
- J.D. from an accredited law school; admitted to at least one State Bar.
- 7+ years in commercial transactions and M&A.
- Experience in corporate restructuring and governance.
- Healthcare industry or regulatory exposure preferred.
- 2+ years of in-house corporate experience.
Skills & Competencies
- Strong ethics, communication, and problem-solving abilities.
- Expertise in contract law, corporate governance, and compliance.
- Proficiency in Microsoft Office; Spanish is a plus.
Travel: Up to 5%
Compensation: $117,600 - $130,000
